This agreement defines the policies and expectations for participation in Michigan Flower Barn. Its purpose is to maintain a fair, consistent, and reliable wholesale collective that supports both the business and its members, to provide a wholesale marketplace. 2026 WHOLESALE BUYER POLICIES & AGREEMENT
Membership Terms
The membership account holder is responsible for reviewing this Agreement in full and understanding all membership procedures provided through their MFB account dashboard and resources before participating in purchasing and participating as a wholesale buyer . This Membership Agreement is entered into by Brown Family Farmstead, LLC, doing business as Michigan Flower Barn (“MFB”), and the Buyer (wholesale member, members).
Wholesale Buyer Membership is valid for one season only, beginning May 1, 2026 and ending December 21, 2026. Membership automatically expires at the end of the season and does not renew or transfer into a future season. Any individual, partnership, limited liability company, association, or other legal entity engaged in the business of purchasing or selling locally grown floral products in Michigan may apply for membership. Admission to membership is not guaranteed and is granted at the sole discretion of MFB management.
All approved members must pay the required membership fee and execute this Agreement in order to participate as a Wholesale Buying Member for the 2026 season.
Membership accounts are issued to a single business and may not be sold, shared, subleased, transferred, or used by any other individual or business. Confirmed wholesale buyers who have completed this agreement will receive an email with an account activation link, including a username and one-time password, to access their membership dashboard. Please allow up to one week for your account information to be delivered.
Membership Fee
All wholesale buyers are required to pay a non-refundable, one-time membership fee of $50 to activate their Wholesale Buyer account. Membership fees are not prorated if an account is activated after April 21.
Membership expires at the end of the season and does not automatically renew. Wholesale accounts may not be shared, transferred, sold, or used by any other buyer.
Membership Procedures & Requirements
All wholesale members are responsible for understanding and following the purchasing procedures established by MFB. Approved buyers will receive access to an online member account through the MFB website, containing step-by-step guides for purchasing and submitting orders.
Members and their staff are expected to conduct themselves respectfully toward other members, customers, and MFB staff both in person and online. MFB is committed to maintaining an environment where all individuals are treated with respect and dignity. We expect all members, staff, and representatives to conduct themselves professionally. Discrimination or harassment based on race, religion, color, gender, political affiliation, sexual orientation, national origin, sex, age, gender identity, height, weight, or physical or mental ability will not be tolerated.
MFB is a working farm. Members must remain within designated operational areas and may only access the property during provided business hours. Additional property rules include no smoking anywhere on MFB grounds, no off-leash pets, and all members must treat farm property and equipment with care. Any individual believed to be under the influence of drugs or alcohol resulting in damaging behavior or unprofessional conduct may have their membership immediately terminated.
Purchasing Wholesale Products
The wholesale season for purchasing opens May 4th, 2026. Wholesale buyers may purchase inventory through two primary methods within the MFB platform: advanced pre-orders submitted through the member dashboard, and weekly online store purchases available every Monday from 10:00 AM to 8:00 PM.
Occasionally farmers may bring additional inventory for in-person purchase during Wednesday pickup hours. This inventory is not guaranteed. Members who require a specific flower type, quantity, or color palette, pre-ordering is strongly recommended.
Advanced Ordering, Pre-orders
Pre-orders must be submitted with a minimum of 7 days notice to allow coordination and fulfillment. Pre-orders must meet a $200 minimum order total, based on average wholesale price range guide.
Once a pre-order request is submitted, MFB staff will confirm receipt, communicate inventory availability or substitutions, and issue a final invoice via email once quantities are finalized.
Buyers will be notified of any fulfillment updates no later than the Friday prior to the selected pickup week. Payment is due upon receipt of the invoice. Orders must be paid in full before pickup.
Online Store Purchases
The MFB online store opens every Monday from 10:00 AM to 8:00 PM, orders placed that Monday are to be picked up that week, on Wednesdays. Inventory is sold first-come, first-served and must be paid in full at checkout.
Items placed in a cart are not reserved and may be removed after approximately two minutes if checkout is not completed. Members are encouraged to shop when the store opens to ensure the best selection.
MFB is not responsible for purchasing interruptions caused by slow internet connections, outdated browsers, or device or user-side technical issues.
Order Pickup
All wholesale orders must be picked up on Wednesdays between 9:00 AM and 12:00 PM at MFB. Michigan Flower Barn is located at 5248 South M-52, Owosso MI 48867.
Buyers must review their order at pickup and confirm both quantity and quality of items before the order leaves MFB. Any additional purchases made in person must be paid for by card at the time of pickup.
If a buyer cannot pickup during designated Wednesday pick up hours, they must contact MFB immediately to arrange alternative pickup options (see non-reoccurring procurement). Orders that are paid for but not picked up during the Wednesday pickup window will not be held unless prior arrangements were made.
Pre-orders must be paid in full before or at the time of pickup through the online invoice. Unpaid pre-orders that are not picked up during Wednesday hours will be voided, and the buyer will lose eligibility for future pre-orders.
Order Modifications & Cancellations
Pre-orders may be modified or canceled within 24 hours of submission through the MFB website. If a payment was submitted and the pre-order is canceled within that window, 100 percent of the payment will be refunded.
Online store purchases cannot be canceled or modified after checkout.
If additional products are needed after the store closes on Monday, buyers may contact MFB before Wednesday. Add-ons to an existing order are not guaranteed, but MFB will attempt to accommodate requests when possible.
Non-Recurring Procurement
If products are needed outside of standard ordering windows, buyers may contact an MFB manager by phone or email to request availability. MFB may provide access to remaining inventory when possible, but additional purchasing outside standard ordering windows is not guaranteed.
One-time pickups outside of standard business hours may be approved at MFB’s discretion with advance notice. MFB may, on a case-by-case basis, accommodate a one-time delivery outside of standard business hours with advance notice. Such accommodations are not guaranteed and may not be available during peak operations. All pickup or delivery arrangements for these orders must be coordinated with MFB staff.
Wholesale Products; Inventory & Quality
All inventory is inspected by MFB staff prior to distribution and is expected to meet professional standards for fresh-cut flowers and foliage.
Floral products are natural materials and may display variations such as spotting, color variation, or natural irregularities that do not reduce their wholesale value. Buyers are responsible for understanding the proper conditioning, transportation, storage, and care of fresh flowers once products leave MFB.
Flowers are sold in wholesale growers bunches, which typically average 10 stems per bunch, stem count noted under description of store item. Flower availability is dependent on seasonal growing conditions and specific varieties or colors cannot be guaranteed. Members may reference the MFB Pricing Guide and Seasonal Availability Guide for estimated pricing and availability. All wholesale pricing is subject to change based on seasonal availability and market conditions. MFB does not guarantee fixed pricing and reserves the right to adjust prices within standard wholesale ranges
Michigan Flower Barn operates as a marketplace connecting buyers with products grown by independent flower farmers and is not the grower of record for most items offered. While MFB inspects and distributes products, all flowers and foliage are grown and harvested by participating farms. By purchasing through the platform, members acknowledge and accept the natural variability associated with seasonal, field-grown products.
As such, natural variations in crop performance, stem characteristics, bloom stage, and seasonal availability are inherent to locally grown agricultural products. MFB does not guarantee specific stem length, bloom size, color shade, or exact varietal expression beyond the general product habit and description provided.
Refund Policy
Flowers and foliage are perishable products, and minor imperfections may occur on stems within wholesale bunches.
If a buyer experiences a product quality issue, they must contact MFB within 24 hours of receiving the order at hello@michiganflowerbarn.com to request a refund. Photo documentation is required for all refund claims. MFB reserves the sole right to determine whether a product qualifies as a quality issue and whether a refund, replacement, or credit will be issued.
Eligible quality issues allowing a refund may include significant wilting across a majority of a bunch, premature bloom shattering of an entire bunch, major discrepancies in color or stem length, missing product or substantial stem shortages within a bunch.
Refunds will not be issued for: natural variation in color, size, or length, buyer misunderstanding of product and its natural habits, or damage occurring after pickup. MFB is not liable for quality issues resulting from improper handling, transportation, or storage after pickup or delivery.
Collective Membership Ethics
All members must operate ethically and in good faith while participating in the MFB platform.
Wholesale products sourced through MFB must be purchased through the MFB platform only during the season. Members may not purchase directly from participating MFB farmers outside the MFB platform during the active membership season.
To protect the integrity of the collective marketplace and participating farmers, members agree not to circumvent the MFB platform to purchase floral products directly from any farmer introduced through Michigan Flower Barn for the duration of the active season and for a period of 6 months following the end of the season. Any wholesale purchasing relationship with farmers participating in MFB must occur through the MFB platform unless written permission is granted by MFB management.
Members may not solicit participating MFB farmers for direct purchasing arrangements that bypass the platform during this time period and for 6 months following the end of a membership season..
Wholesale products purchased through MFB are intended for use within the member’s own floral design, retail, or event business. Products purchased through the platform may not be resold to other wholesalers, flower farmers, or floral designers for the purpose of redistribution, resale, or re-wholesaling without prior written permission from MFB management.
Members who participate in MFB as both a farming member and buying member must adhere to the same purchasing policies and may not purchase inventory through the platform for the purpose of reselling those products through another wholesale channel or farm operation.
Any member found circumventing the MFB platform, establishing unauthorized direct purchasing relationships with participating farmers, or purchasing products for resale in violation of these policies may have their membership immediately terminated and may be restricted from future participation in MFB.
Conflict of Interest
Members must disclose any potential conflicts of interest including receiving gifts, loans, or favors from suppliers or vendors, or financial interests in businesses that compete with MFB within a 100-mile radius of Owosso.
Members may not replicate or operate a substantially similar marketplace model, solicit MFB members or customers away from the platform, or disclose confidential information obtained through participation.
These obligations apply during and after membership.
Membership Access
Members are responsible for maintaining internet access required to use the MFB website and services. MFB is not responsible for interruptions caused by network failures, equipment issues, or software problems.
Members must notify MFB immediately if unauthorized access to their account occurs. Members may not attempt to gain unauthorized access to website systems, download or copy platform software or services, or reverse engineer proprietary systems.
Digital Assets
MFB may photograph or record video of members, staff, or guests while on MFB property or at MFB events. These materials may be used for marketing, social media, website content, or promotional purposes without compensation.
Waiver of Liability & Breach
Members release and hold harmless MFB from any claims or liabilities arising from activities conducted on MFB premises. Members assume responsibility for any injury, loss, or property damage occurring as a result of their activities while on MFB property. Any waiver of a breach of this Agreement must be in writing and does not constitute a waiver of future breaches.
Force Majeure
MFB shall not be liable for failure to perform obligations under this Agreement due to circumstances beyond reasonable control including severe weather, natural disasters, strikes, labor disputes, war, or civil unrest.
Severability & Violations
Members may be suspended or removed after three formal violations of this Agreement. Violations may include written or verbal warnings. If any provision of this Agreement is found to be unenforceable, the remaining provisions shall remain valid and enforceable.
Sales Tax
Products purchased through MFB are sold at wholesale pricing. MFB does not charge sales tax on wholesale purchases. Members are responsible for collecting and remitting Michigan’s 6 percent sales tax on retail sales to their end customers.
Assignment
Members may not assign or transfer their rights or obligations under this Agreement to any other party.
Amendment
MFB reserves the right to amend this Agreement with written notice to members. Updates to terms, policies, or conditions do not require a new signature. Minor grammatical or formatting updates do not constitute a contract revision.
Agreement Acceptance
By signing this Agreement, the Member acknowledges that they have read, understood, and agree to the legally binding terms and conditions outlined above.
