Buying Member Contract


Please review and sign the contract below to complete your  Membership with the Michigan Flower Barn.

This MEMBERSHIP AGREEMENT is made and entered by Brown Family Farmstead, LLC doing business as Michigan Flower Barn (“MFB”).

Any individual, partnership, limited liability company, association, person, or legal entity engaged in the business of purchasing locally grown floral products in Michigan is accepted to apply and to be approved as a buying member of the MFB. Admission to membership is not a right and shall be determined at the sole discretion of the MFB Board of Directors. All members are required to pay a membership fee and execute this Agreement to participate as a buying member.

Membership Fee
All buying members are required to pay a non-refundable $100 membership fee before the start of the market season.

No buying member has the right to sell, sublease, transfer or permit any other buyer to use their market membership pass.

The membership fee is good for a single season starting May – October (end of October/first frost).

Market Structure
The MFB market is open on Wednesday’s for buyers to pick up product and shop from open stock  from 9 am – 12 pm. Online pre-ordering happens every Monday from 10 am – 3 pm and must be paid for in full before pickup. All sales made at MFB shall be paid in by card during checkout. All online orders hall be paid in full via the MFB website prior to the market day (Wednesday). Upon order pickup, you will sign off on your products confirming their quality, quantity and satisfaction. We cannot accommodate additional pickup days/times at this time. If there is an extenuating circumstance preventing you from picking up your florals by noon on Wednesday, please call us to arrange for another option. 

Membership under this Agreement is for one season, which begins in May and ends on November 1st, 2022. Membership shall expire at the end of the season.

Committing To MFB Quality
All floral and foliage sold will be provided for shoppers in growers’ bunches. Growers’ bunches are recommended in 5-10 stems. Please reference the MFB Seasonal Guide for average wholesale price ranges and seasonal availability. All floral products are freshly harvested and properly conditioned for your pickup date. Flower selection is always dependent on seasonal availability and exact bloom color is never guaranteed. 

The MFB stands by the quality of all products sold. If for any reason you are unhappy with any products purchased or experience any issues, you must contact the MFB within 24 hours and provide evidence with issues for a refund.

The MFB staff and management expects market participants to be honest and to conduct themselves in a courteous and friendly manner with other market participants, staff, and shoppers. We expect all MFB members to conduct themselves in a manner that contributes to a positive experience for all.

The MFB is committed to a work environment in which all individuals are treated with respect and dignity. Every individual has the right to work in a professional atmosphere that provides equal employment opportunities and prohibits discriminatory practices. We expect all members, staff and representatives in the MFB to be professional and welcoming. No member shall refuse to permit the purchase of any product or service based on race, religion, color, gender, political affiliation, sexual orientation, national origin, sex, age, gender-identity, height, weight or mental/physical ability. Harassment in any form will not be tolerated.

Smoking in or on the property of MFB is prohibited. 

Waiver of Liability & Indemnification
Member hereby releases and discharges MFB from any and all claims and liabilities arising from or caused by activities conducted on the MFB’s premises regardless of the cause of the damage or loss. Member agrees to indemnify and defend MFB against and hold MFB harmless from any liability, loss, damage, cost, or expense (including attorney fees) based on any claim, demand, suit, or action by any person or entity with respect to any personal injury (including death) or property damages, from any cause regarding Member’s activities on and use of MFB’s premises.

Should any part of this Agreement be declared invalid for any reason, such invalidity shall not affect the validity of any remaining portion thereof, and such remaining portion shall continue in full force and effect as if this Agreement originally had been executed without including the invalid portion. The parties further agree that any such court is expressly authorized to modify any such unenforceable provision of this Agreement in lieu of severing such unenforceable provision from this Agreement in its entirety, whether by rewriting the offending provision, deleting any or all of the offending provision, adding additional language to this Agreement or by making such other modifications as it deems warranted to carry out the intent and agreement of the parties as embodied herein to the maximum extent permitted by law.

Any provision of this Agreement may be amended or waived only with the prior written consent of the Parties.

The Member signing this contract hereby desires to engage the Michigan Flower Barn to provide services for the Member in exchange for consideration as well as the mutual promises and representations contained in this Agreement, the receipt and sufficiency of which are hereby acknowledged.

By signing this contract you agree and consent to the legally binding terms and conditions of this agreement.
