Farming Member Contract

Please review and sign the contract below to complete your  Membership with the Michigan Flower Barn.

This MEMBERSHIP AGREEMENT is made and entered by Brown Family Farmstead, LLC doing business as Michigan Flower Barn (“MFB”).

Any individual, partnership, limited liability company, association, person, or legal entity engaged in the business of purchasing locally grown floral products in Michigan is accepted to apply and to be approved as a buying member of the MFB. Admission to membership is not a right and shall be determined at the sole discretion of the MFB Board of Directors. All members are required to pay a membership fee and execute this Agreement to participate as a buying member.

Membership Fee
All farming members are required to pay a non-refundable $200 membership fee before the start of the growing season. The MFB charges a weekly fee of 30% of total Gross Sales from each farming member, assessed at the end of each shopping market (every Wednesday). Gross Sales for purposes of calculating the weekly fee is defined as: all income earned by Member for all sales made at MFB prior to any and all expenses and deductions, but after accounting for any returns and discounts.

Term
Membership under this Agreement is for one season, which begins in May and ends on November 1st, 2022. Membership shall expire at the end of the season.

Product Sale Requirements

All floral and foliage sold should be provided for shoppers in growers’ bunches. Growers’ bunches are recommended in 5-10 stems. Please reference the MFB Farmers Product Guide for average wholesale price ranges for our area. Each member is required to set their own pricing for their products and provide it to the MFB 1 week before the shopping day. The MFB staff will provide each farm with SKUs for their products to be scanned when purchased, when they arrive to sell products the following Wednesday. All shopping members will be purchasing your products at wholesale pricing.

Each farming member is required to accurately provide what products they are growing each season. This is critical to provide accurate product availability to our shoppers. We encourage you to be accurate with your product availability for pre-sales and bring at least 20% more product in addition to that for additional shopping. If you have an abundance of extra products during the growing season that are ready to be harvested, please contact MFB to arrange additional sales options. We understand that mother nature happens and will provide clear communication to all shoppers about product availability and pre-sales through the entire season. 

MFB Farmer Qualifications & Requirements
All MFB farming members are committing to selling their products for the growing season through the MFB market to shopping members. We appreciate your commitment to using MFB as your outlet for wholesale. You are the producer of all goods being sold at the MFB market. Distributed goods will not be accepted.

You are committing to selling high-quality floricultural products and crops to professional florists and designers. Any cut flowers (all fresh products) must be harvested no more than 2 days before market delivery. 

You must use sustainable growing practices wherever possible, all growing methods and ingredients used on your application are qualified as sustainable or organic and do not include harmful chemicals. Farming members agree to one onsite tour of your farm by the MFB manager or a staff member on an as-needed basis. The MFB manager will request an onsite visit with a minimum of a one week notice.

Regular attendance is expected by all farmers. Any member committing to a full season pass is required to sell their products for the full season (May – October) at the MFB. We allow for up to 8 missed market weeks. Product-specific or half-season member passes are required to provide 100% attendance. Whether you are missing a week due to personal reasons or product shortages (mother nature), please contact MFB a week prior to your missed market date or as soon as possible. This is critical as our farmers are what makes up the market and our shopping customers will require consistency. If there is any reason you’re going to miss more than 8 market dates, please contact the MFB management team to discuss details.

You are not required to stay for the entire length of MFB shopping hours (9 am – 12 pm), but are welcome to stay the entire time shopping members are there. 

All vendors are required to arrive no later than 30 minutes before the MFB market opens for shopping (between 7:30-8:30 am). It is strongly encouraged that you arrive with plenty of time to unload your products before shopping starts. Your products should be ready for MFB Staff to pull pre-order sales and open stock be priced for customers to shop from. Multiple late deliveries will not be tolerated.

MFB staff are not responsible for setting up your products for shopping. Each farmer is required to provide their own buckets and fill them with clean water upon arrival. Farmers must bunch products when selling on the MFB market floor.

Committing To MFB Quality
Becoming a flower farm supplier for MFB means you agree to provide high-quality cut flowers using sustainable growing practices whenever possible. The MFB team is juried to review and reject any products based on quality.

All products are required to be cut no more than 2 days before a market shopping day (every Wednesday). Farmers are not to cut and store fresh flowers or foliage for more than 2 days before bringing them to the market.

The MFB staff and management expects market participants to be honest and to conduct themselves in a courteous and friendly manner with other market participants, staff, and shoppers. We expect all MFB members and their staff to conduct themselves in a manner that contributes to a positive experience for our customers.

The MFB is committed to a work environment in which all individuals are treated with respect and dignity. Every individual has the right to work in a professional atmosphere that provides equal employment opportunities and prohibits discriminatory practices. We expect all members, staff and representatives in the MFB to be professional and welcoming. No member shall refuse to permit the purchase of any product or service based on race, religion, color, gender, political affiliation, sexual orientation, national origin, sex, age, gender-identity, height, weight or mental/physical ability. Harassment in any form will not be tolerated.

Smoking in or on the property of MFB is prohibited. 

No participant has the right to sell, sublease, transfer or permit any other seller to use their market membership.

MFB Procedures
We ask that you accurately provide your growing season products so we can provide seasonal offering previews to our shoppers and avoid product redundancy among vendors. We will be providing all farmers with a list of products currently being offered and other items in demand by shoppers at the start of each growing season (February – March).

After each shopping day (Wednesday), the MFB management will offer to purchase, at wholesale pricing, selected growers bunches that were not purchased by shoppers. We will be using these products to create bouquets to sell at the Owosso Farmers Market, advertising each farm the florals are from.

Members are required to disclose all conflicts of interest on or a matter that include, but are not limited to: receiving gifts, loans, contributions, or favors from suppliers, contractors, or which may otherwise create the appearance of a conflict of interest. Or being materially affiliated with or having a material financial interest in any vendor or supplier of the MFB or any business that competes with the MFB within a 1 hour radius of the market location.

Waiver of Liability & Indemnification
Member hereby releases and discharges Farm from any and all claims and liabilities arising from or caused by activities conducted on the MFB’s premises regardless of the cause of the damage or loss. Member agrees to indemnify and defend MFB against and hold MFB harmless from any liability, loss, damage, cost, or expense (including attorney fees) based on any claim, demand, suit, or action by any person or entity with respect to any personal injury (including death) or property damages, from any cause regarding Member’s activities on and use of MFB’s premises.

Waiver of Breach
The failure or delay from time to time of either party to insist upon compliance with any term or condition hereof shall not operate as, and is not to be construed as, a waiver or amendment of such term or condition. Any express waiver of a breach of any term or condition of this Agreement shall not operate and shall not be construed as a waiver of any subsequent breach, whether occurring under similar or dissimilar circumstances.

Severability
Should any part of this Agreement be declared invalid for any reason, such invalidity shall not affect the validity of any remaining portion thereof, and such remaining portion shall continue in full force and effect as if this Agreement originally had been executed without including the invalid portion. Compliance with the guidelines is required for the entire selling season. If you fail to comply with these requirements, you will be required to meet with the MFB management to discuss membership concerns. If there is a second instance of failure to comply or a formal complaint against the farmer, it will constitute a breach of this Agreement and the Member will no longer be eligible for membership and their membership shall be terminated by MFB. MFB shall adopt procedural rules governing the termination of membership for failure to meet these continuing requirements of membership.

Assignment
The Parties agree that neither has the right to assign any duties or rights under this Agreement.

Amendment
Any provision of this Agreement may be amended or waived only with the prior written consent of the Parties.

By signing this Agreement you agree and consent to the legally binding terms and conditions of this Agreement.
